An independent Luxembourg trust company dedicated to the preservation, structuring and transmission of wealth for discerning private clients, entrepreneurial families and institutional counterparties.
Ubiquites Trustee SA was established by the former management team of UBI Trustee SA, the historic Luxembourg trust company of the UBI Banca group, subsequently integrated into Intesa Sanpaolo.
The firm was founded following a strategic decision to create an independent fiduciary institution of the highest professional standard. Rather than operating within the structural constraints of a banking group, the founding team elected to build a fully independent platform, exclusively focused on acting in the best interests of its clients, free from proprietary product considerations or group-driven objectives.
Since its inception, Ubiquites Trustee SA has been met with strong support from its stakeholder community, including clients, investors and professional advisers. The firm today brings together a team of senior professionals with extensive experience in trust and fiduciary services, wealth planning, corporate governance and complex cross-border structuring.
Born from a distinguished banking heritage yet deliberately constituted as an independent operator, we combine the rigour of institutional practice with the agility and alignment of a boutique firm wholly devoted to client outcomes.
Luxembourg's AAA-rated regulatory framework, deep treaty network and position as Europe's leading private banking centre provide our clients with a jurisdiction of unmatched stability, transparency and international credibility.
We act for high-net-worth individuals, entrepreneurial families, industrial groups and financial institutions navigating the intersection of wealth, family governance, tax efficiency and generational succession — particularly across the Italian and broader European market.
We operate at the intersection of law, finance and family — where decisions carry consequences across decades and generations. Our practice is founded on the conviction that fiduciary responsibility is not merely a legal obligation, but a professional ethos demanding the highest standards of judgement, independence and care.
Our team does not sell financial products. We do not serve institutional agendas. We exist to act in the exclusive interest of those who entrust us with the custody and stewardship of their most significant assets — and to do so with the discretion, continuity and intellectual depth that sophisticated clients rightly expect.
We are rigorous where rigor is required, creative where structuring opportunities demand it, and always grounded in the legal, fiscal and relational realities of each client's unique circumstances.
Structures designed to endure. Relationships built over decades. Our commitment extends beyond the immediate mandate.
Robust, bank-compliant structures across jurisdictions. Preservation of wealth is our primary fiduciary objective.
No proprietary products. No banking group directives. Pure fiduciary alignment with our clients' interests alone.
Beyond legal structures: we navigate the relational complexity of family wealth, succession and generational transition.
Stringent AML-CFT and KYC standards. Bank-compliant documentation. Full alignment with international regulatory expectations.
A 25-year track record built on transparency, professional honesty and the unwavering primacy of our clients' interests.
We provide an integrated range of trust, fiduciary and wealth structuring services, combining deep legal and fiscal expertise with a holistic understanding of the personal, relational and institutional dimensions of private wealth. Each engagement is structured around the specific objectives of the client — not around standardised product offerings.
We act as professional trustee across a broad spectrum of trust structures — discretionary, fixed, purpose and reserved — administering trust assets with the rigour, independence and accountability that the role demands. Our fiduciary practice encompasses the full lifecycle of the trust relationship, from deed review and establishment through ongoing administration to distribution and termination.
Generational wealth transfer is among the most consequential decisions a family will make. We work alongside clients and their professional advisers — legal, fiscal, banking and investment — to design succession plans that are legally robust, fiscally efficient and sensitive to the familial dynamics that so often determine whether a transition succeeds or fails.
We assist entrepreneurial families in designing and implementing governance frameworks that preserve unity, resolve conflict and create the institutional conditions for sustainable wealth across generations. This includes family charters, family councils, shareholder agreements and bespoke governance protocols tailored to the culture and structure of each family.
We design and administer bespoke corporate holding structures — Soparfi, SPF, SPV, Italian SRL with enhanced rights — as integral components of broader wealth planning strategies. Our structuring expertise spans Luxembourg and Italian corporate law, with a particular focus on cross-border efficiency and regulatory compliance across multiple jurisdictions.
Properly structured trusts and fiduciary arrangements provide one of the most effective legal frameworks for protecting assets from unforeseen claims, creditor risk and jurisdictional uncertainty. We design protection strategies calibrated to the specific risk profile, asset classes and long-term objectives of each client, always within a fully compliant international framework.
For clients with charitable ambitions, special-purpose obligations or the care of vulnerable beneficiaries, we establish and administer purpose trusts, charitable structures, and dedicated SPVs. These vehicles allow clients to formalise their philanthropic legacy, protect dependent family members and deploy capital with intentionality and lasting institutional effect.
Ubiquites provides structuring and advisory services in connection with Luxembourg alternative investment vehicles — including RAIF, SIF and SICAR — for sophisticated investors seeking efficient, regulated access to private markets. We work alongside fund promoters, legal counsel and depositary banks to ensure full regulatory compliance and operational excellence.
Wealth structuring at the highest level requires the orchestration of legal, fiscal, banking, insurance and investment advice across multiple jurisdictions and professional disciplines. We act as the central fiduciary pivot — coordinating the client's professional team, ensuring coherence of strategy and maintaining the continuity of institutional knowledge throughout the client relationship.
We assist clients in structuring their estate to reflect their personal intentions with legal precision — through wills, family pacts, insurance arrangements and testamentary trusts. Our approach integrates civil law, common law trust principles and international tax considerations, with deep familiarity with Italian succession law and its interaction with Luxembourg fiduciary instruments.
Introduced under Luxembourg law in 2016, the Reserved Alternative Investment Fund (RAIF) has rapidly established itself as one of the most commercially versatile vehicles in the European alternatives landscape. Not subject to direct CSSF authorisation — relying instead on an authorised AIFM — the RAIF can be launched in approximately three months and deployed across hedge fund, private equity, real estate, venture capital and fund-of-funds strategies. It may adopt multiple legal forms (SA, SCA, SCSp, FCP) and can be structured as a standalone fund or an umbrella with segregated compartments. This institutional paper by Ubiquites Trustee examines the RAIF's key structuring parameters, comparative advantages over SIF and SICAR, practical use cases for industrial groups and family offices, and the tax deferral opportunities available when combined with a Luxembourg trust structure.
